Eugenio Arnoux Arena is a member of González Calvillo since 2007. Mr. Arnoux is a corporate and financial lawyer with experience in complex corporate, banking, financial and transactional matters. Currently, Mr. Arnoux is an associate of the Firm’s Corporate-Financial Practice Group.
Practice Focus
Mr. Arnoux provides legal counsel to national and foreign entities in general corporate, banking, financial and transactional matters. He has actively partaken in numerous corporate and financial transactions in Mexico and abroad. His practice includes financings, project finance, private equity transactions, public offerings, corporate restructurings, creation and implementation of security interests, mergers and acquisitions, strategic alliances, joint ventures, real estate transactions and antitrust related matters.
Representative Legal Matters
• Counsel to Nissan-Renault Finance Mexico in the issuance and placement of over US$1.5 billion in debt instruments in the Mexican market, the renewal of its US$1 billion debt securities program, and in various public offerings performed under such program.
• Assisted Macquarie Capital in its business start-up process in Mexico.
• Counsel to Citibank and Barclays Capital in creating and implementing security interests over Mexico based assets as a result of the granting of a revolving credit facility and a high-yield bond issuance by a joint venture of INEOS and BASF.
• Legal counsel in financial matters and structures to Banco General, S.A., including financings in the form of loan agreements and repurchase agreements (contratos de reporto), as well as in the creation and implementation of security interests.
• Counsel to Wells Fargo Capital Finance LLC, and other financial institutions, in the US$500 million syndicated credit agreement granted to Ravago Holdings America, Inc., and its Canadian and Mexican subsidiaries, as well as in the creation and implementation of a collateral package thereto.
• Assisted Grupo Fertinal in certain antitrust matters related to its reacquisition of certain properties in an industrial facility located at Lázaro Cárdenas, Michoacán.
• Represented Operadora Cinepolis, S.A. de C.V., in a due diligence to Grupo Cinemex, S.A. de C.V., for its participation in a private offer of cinema and movie theaters.
• Counsel to Grupo Inar, S.A. de C.V., a real estate and hotel developer, in its corporate restructuring and joint venture with Bloch Management Corporation and Centurian Hotel LLC.
• Represented Pacific Tomato Growers in its joint ventures with Mexican tomato producers.
• Assisted Iridium Satellite LLC and Spacenet Comunicaciones de México, S.A. de C.V., in their obtaining of a public telecomm network concession and a satellite landing rights license.
• Counsel to Capital Delivery Ltd. in the financing to Dinesa Pizzas, for the opening of Papa John’s establishments in México.
