Federico Vergara is a member of the banking and finance practice group of González Calvillo. Mr. Vergara is experienced in corporate law; mergers and acquisitions of domestic and foreign commercial companies; joint ventures; infrastructure projects and its financing and refinancing; advisory for regulatory matters to national and foreign financial institutions and foreign investments. Before joining González Calvillo, Mr. Vergara was a member of Galicia Abogados, S.C. (2006-2010)
Practice Focus
Mr. Vergara has participated in domestic and cross-border financings and acquisitions; having been involved in their structuring, negotiation, and documents drafting. The scope of the transactions on which he has been involved includes the representation of both lenders and borrowers in restructurings and bilateral and syndicated facilities. Federico’s practice includes complex analysis and the preparation of opinions and reports for banks and financial institutions in connection with regulatory matters and its legal implications. He has also been active in real estate projects, joint ventures, securitizations and foreign investment.
Representative Legal Matters
• Represented HSBC, Santander, BBVA, Citigroup, JP Morgan, BofA-Merrill Lynch in a US$1 billion syndicated financing facility to Mexican chemicals company Mexichem.
• Represented Navistar in a US$90 million secured credit facility with Citibank and Banamex backed by the US EX-IM Bank.
• Represented Navistar Financial in a US$300 million issuance of commercial paper.
• Represented a leading international bank in a Mx$1,000,000,000.00 revolving facility to Prudential Real Estate Investors CKD’s issuer trust.
• Represented a major international bank in a Mx$1,500,000,000.00 financing to a leading Mexican and international chemicals and other businesses group.
• Represented Deutsche Bank as trustee in various trusts involved in the restructuring of Comercial Mexicana.
• Acted as Mexican counsel in financing and refinancing facilities for about US$100 Million from National Bank of Canada, The Royal Bank of Scotland and other Canadian financial institutions.
• Represented Ricoh / InfoPrint in the Mexican portion of the consolidation of its operations worldwide.
• Represented Navistar Financial in a US$50 million credit facility with Export Development Canada.
• Represented Compartamos Banco in corporate structuring and regulatory work.
• Represented PUMA AG Rudolf Dassler Sports in the acquisition of 100% of the capital stock of its Mexican subsidiary and its implementation.
• Represented Termoeléctrica del Golfo and Termoeléctrica Peñoles in refinancing facilities and corporate work.
• Represented Ikusi in the takeover of a high-tech Mexican company.
