José Ignacio Rivero Andere is a member of González Calvillo´s Corporate Finance Practice Group since 2008 and was a foreign associate in the New York Office of Proskauer Rose LLP from June 2010 to October 2011. Mr. Rivero has counseled purchasers, sellers and investors in multi-million domestic and cross-border mergers, acquisitions, financings, project finance, joint ventures, and strategic alliances and has also collaborated in different securitization procedures before Mexican and U.S. authorities.

Mr. Rivero has broad experience in financings, capital markets, general corporate law, mergers and acquisitions, project finance, securities, telecommunications, and banking.

 

Representative Legal Matters

·         Counsel to Desarrolladora Homex, S.A.B. de C.V., one of the largest construction companies in Mexico, in the issuance of US$400 million 9.75% 144A/REG-S notes due 2020.

·         Counsel to Nissan Renault Finance Mexico in the registration and maintenance of a US$1 billion bond issuance programme in the Mexican Stock Exchange, as well as with the registration and structuring of all the offerings under the programme.

·         Counsel to Credit Suisse, as agent, and a syndicate of lenders, in the financing of USD$575 million to Kersner Group, a leading international developer and operator of destination resorts, casinos, and luxury hotels, including among others, the Palm in Dubai, United Arab Emirates, and the Palmilla One and Only in los Cabos, Mexico.

·         Counsel to Wells Fargo, as agent, and s syndicate of lenders, in the financing of USD$500 million to Ravago Group,  one of the world’s largest plastic derivative raw materials provider.

·         Counsel to Bank of America and LBC Credit Partners, as agents, and a syndicate of lenders, in the financing of USD$127.5 million to A&E Global, one of the world’s foremost manufacturers of sewing threads and industrial yarns, with presence in Asia, Europe and the Americas.

·         In the past Mr. Rivero has also represented: (i) Desarrolladora Homex in its initial and secondary public offerings in the Mexico Stock Exchange and the New York Stock Exchange; (ii) GMAC, Hipotecaria Su Casita, and Hipotecaria Crédito y Casa in certain structured finance issues, including the securitization of mortgages in Mexico, and (iii) Standard Bank, Banca Nazionale dil Laboro, J.P. Morgan, and other financial institutions, in the negotiation and execution of several credit agreements with their corresponding collateral package.
