María Elena de la Fuente is a member of González Calvillo since 2006. Ms. De la Fuente is a corporate lawyer with experience in complex corporate, franchising and transactional matters and operations. Currently, Ms. De la Fuente is an associate of the Firm’s Corporate Practice Group.

Practice Focus
Ms. De la Fuente provides legal counsel to national and foreign entities in general corporate, franchising and transactional matters. She has actively partaken in numerous corporate and transactions in Mexico and abroad. Her practice includes corporate restructurings, franchising, mining, mergers and acquisitions, real estate transactions, purchase and sale agreements, shareholders’ disputes and foreign investment related matters, among others.

• Assisted Yum! Restaurants in the sale of all assets in its “KFC” and “Pizza Hut” fast food restaurant businesses in Mexico.

• Counsel to Telefonica Moviles Mexico in their telecommunication towers sale and leaseback transactions with several multinational buyers.

• Counsel to Kumon Instituto de Educacion, S.A. de C.V. in the implementation and operation of its franchised system in Mexico, as well as in all legal matters related to its day to day operations with franchisees, suppliers, contractors, among others.

• Counsel to Google Mexico, S.A. de C.V. and affiliate in all kinds of corporate matters.

• Assisted Operadora Cinepolis, S.A. de C.V., in a due diligence to Grupo Cinemex, S.A. de C.V., for its participation in a private offer of cinema and movie theaters.

• Assisted Spa and Salon International Limited in the corporate restructuring and selling of its Mexican subsidiary and the implementation of the Pond’s Institutes’ franchises in México

• Assisted Haldor Topsøe A/S in the start-up of its branch office and operations in Mexico.

• Assisted Qualcomm International, Inc. in the start-up of its branch office and operations in Mexico.
