Rodrigo Núñez Sarrapy is a member of González Calvillo’s Corporate Finance Practice Group. Mr. Nuñez has broad experience in corporate and banking finance, mergers and acquisitions and private equity. He also specializes in real estate investments, privatizations and general corporate matters. Mr. Núñez regularly advises financial institutions, issuers, private equity funds, real estate investment funds and developers in connection with domestic and cross-border transactions. Mr. Núñez is also Secretary of the Board of Directors of various public and privately held companies.

Mr. Nuñez-Sarrapy obtained a J.D. degree from the Escuela Libre de Derecho in 1995. He was a founding partner at Cortés y Núñez Sarrapy, S.C. from 2004 to 2011, and a foreign associate at the New York office of Shearman & Sterling LLP from 2000 to 2001.

Representative Legal Matters
• Represented Urbi Desarrollos Urbanos in the structuring and inception of a Master Trust Agreement jointly with the National Infrastructure Fund (Fonadin-Banobras) for the development and construction of the Valle San Pedro sustainable housing development (DUIS), located in the municipalities of Tijuana and Tecate, Baja California, for a total amount of US$300 million.
• Represented Nexxus Capital in its joint venture with Walton Street Capital and Grupo Chartwell for the development and operation of touristic hotels and hospitality projects in Mexico (including among others, the management and operation of Hilton Hotels).
• Represented the controlling shareholders of Industrias Innopack, in the sale of their stake in the company for a total amount of US$210 million.
• Represented the trust division of Banco JP Morgan México in the first cross-border securitization of mortgage-receivables conducted by Hipotecaria Su Casita for an aggregate amount of $253 Million.
• Represented the trust division of Banco JP Morgan México in the international offering of asset-backed Notes conducted by Aeroinvest, controlling company of Grupo Aeroportuario Centro-Norte, for a total amount of US$210 million.
• Represented The Bank of New York Mellon México in the transfer of the trust portfolio and the fiduciary operations of Banco JP Morgan México.
• Represented ABC Capital in the acquisition of the operative assets of Crédito y Casa, and the management of its loan mortgage portfolio for Sociedad Hipotecaria Federal.
• Represented AMB Capital Partners and G.Acción in the sale and leaseback of the Industrial Park of Los Altos to IBM de México, for a principal amount of US$52 million.
• Represented the Mexican Government’s agency for the administration and liquidation of assets (SAE) in the sale through public bid of a various portfolios of real estate assets, receivables and collection rights; and in the divestiture of expropriated sugar mills.
• Represented Cushman & Wakefield, as placing agent, and BBVA Bancomer and HSBC México, as selling entities, in the US$30 million sale in public bid of three different real estate and receivables portfolios.
• Represented Banco Obrero and Banco Unión, through their bankruptcy liquidator IPAB, in the US$39 million judicial sale of two mortgage loan portfolios.
• Represented Zoom Media Group in its strategic association with Editorial Televisa, to publish and commercialize the “Poder” and “Loft” magazines in Mexico and Latin America.
• Represented Grupo Industrial Durango and Corporación Industrial Durango on their US$500 million tender and exchange international bond offerings.
• Represented a syndicate of banks led by BBVA Bancomer on the refinancing of a US$100 million syndicated credit facility granted to Liverpool and affiliates.
• Represented Banamex and Cushman & Wakefield on the US$45 million acquisition and regularization of different real estate assets of Grupo SIDEK-Situr.
• Represented the Mexican Federal Government, Ferrocarriles Nacionales de México and Operadora de Bolsa Serfin as placing agent, on the US$1.9 billion privatization of the three major railways tracks of the Mexican National Railway System.
