GC acted as local counsel of Atlas Holdins in Mexico

Gonzalez Calvillo, July 19th 2023 .- We acted as local counsel of Atlas Holdins in Mexico in the acquisition of Auburn Hills-based automotive supplier U.S. Farathane LLC, USF Holdings LLC and their subsidiaries. We performed in-depth due diligence of the Mexican assets (including U.S. Farathane, S.A. de C.V.) and participated in the drafting and negotiation of the acquisition contracts. We also acted as antitrust regulatory counsel to obtain the relevant authorizations from the Federal Economic Competition Commission.

This represents one of several examples in which the firm has participated in the decades-long but recently-acknowledged nearshoring trend. We have conformed a multidisciplinary team specifically devised for acquisitions of this nature. The increased complexities associated with auto-part supplier vertical integration and consolidation has also been a challenge to our antitrust team, and one we feel we have excelled at.

The team was led by our partners José Víctor Torres, Cristina Massa, Alberto Pliego and counsel Rosa Elena Coto, Alberto Bustamante, Lucía Fernández, Patricio Martínez alongside associates Félix Ponce-Nava, Georgina Zavala, Diego Hernández, Paulina de Rosenzweig, Alejandro Flores, José Alfonso Fernández , Luis Guillermo Vazquez and Priscila Barba with the support of law clerks Erika Botas, Pablo Suárez and Arantxa Irigoyen.
