The firm’s corporate practice group provides, among others, integral legal and business solutions to domestic and foreign companies, both public and private, in relation to all their corporate and legal matters while and/or for operating in Mexico.

Our ability to provide integral services, through our wide range of practice areas, allows us to provide services related to legal aspects of corporate nature, including corporate planning, that best suits the client’s business needs, incorporation of companies, registrations, start of operations and corporate governance, restructuring and reorganizations, agreements between partners or shareholders, up to the merger, spin-off, dissolution and liquidation of companies. Several of our partners serve as members of their clients’ board of directors or take care of their corporate secretary functions.

Members of our corporate practice group actively participate in all kinds of local and cross-border transactions, mainly related with corporate, mergers, acquisitions and private equity matters, including the sale or acquisition of equity stakes, minority stakes and assets, financed acquisitions, capitalization, corporate restructurings, partial or total spin-offs, public tender offers for acquisitions, planning and implementation of partnerships, joint ventures, dissolution and liquidations, among others.

We have developed and have vast experience in:

  • Incorporation and registration of companies, and compliance with their day-to-day corporate obligations.
  • Advice and representation of companies and national or foreign investors regarding the start-up and operation of their business in Mexico, identifying the most suitable legal vehicles depending on the type of activity or investment, including the incorporation or registration of subsidiaries, affiliates, branches, or representation offices necessary to hold or manage any investments or to conduct commercial activities within Mexico.
  • Corporate governance, in terms of the way in which a company should be controlled considering the stakeholders’ interests and commercial objectives.
  • Design and implementation of corporate strategies including the incorporation of special purpose vehicles (SPVs), joint ventures and other forms of associations, appropriate for the development of transactions, minimizing corporate risks and/or the implementation of projects of any nature.
  • Dispute resolution between partners and/or shareholders.
  • Negotiation, drafting, execution and termination of all type of contracts and agreements, including but not limited to agreements between shareholders or partners, purchase and sale agreements, merger and consortium agreements, joint ventures, as well as those related to venture capital and private equity investments.

One of the main aspects of our corporate practice is our ability to combine and integrate it with all other practice areas of the firm, offering our clients comprehensive legal advice related to their day-to-day corporate affairs. This provides added value to advice on labor, commercial/contractual, data protection, intellectual property, foreign trade and customs, mediation, litigation and other commonly related practices. All of the above, in addition to our proven experience in the negotiation, structuring and creation of joint venture and strategic alliances, as a result of foreign investment, either by legal requirement or as part of the business strategy adopted by a client. We also advise national and foreign companies, private equity firms and investment funds, among others, intending to do business in Mexico and Latin America.

Likewise, we have been selected by a large number of joint ventures to act as independent legal advisors to their shareholders or partners, as well as to address corporate affairs and advise on day-to-day or specific operations that require the representation of the consortium as a whole.

Relevant matters
  • Red Bull in the negotiation and execution of a new distribution agreement for its products in Mexico. 
  • The merger of BMW Leasing de México, as the merged company, with and into BMW Financial Services de México, as the merging company.
  • KOVI, a Brazilian rental car start-up, in the establishment of its business in Mexico.
  • ACE Hardware in the execution of its master supply and logistics services agreement (3PL) with PIMSA Ferreteros. This agreement represents ACE Hardware entrance into the Mexican market.
  • Diltex in the implementation and structure of a joint venture with Etam, for the marketing, distribution, and sale of specific textile products in Mexico, which shall serve as the vehicle for the development and growth of the Fiorentina and Etam trademarks and business within Mexico.
